The terms on which you may use the AGREEMENTA website and client portal, and the basis on which we accept and deliver work.

    Acceptance

    By accessing this website, submitting an enquiry, or registering for the client portal, you agree to these Terms of Use. If you do not agree, please do not use the site or the portal.

    AGREEMENTA is a service of Meenakshi Associates Corporate Advisory LLP, Thiruvananthapuram, Kerala, India.

    Nature of the service

    We provide agreement drafting, vetting, review and commercial contract advisory support. Content on this website is general information and does not constitute legal advice, an opinion, or a solicitation.

    No advisory relationship arises merely from browsing this site, submitting an enquiry, or creating a portal account. An engagement begins only when scope and fees are confirmed in writing between us.

    Client portal accounts

    • Portal registration is intended for clients seeking vetting or review of an agreement. Drafting enquiries are handled through the contact form.
    • Registrations require approval by Agreementa before a matter can be created.
    • You are responsible for the accuracy of the information you provide and for keeping your password confidential.
    • You must not upload unlawful, infringing or malicious content, or content you are not entitled to share.

    Uploads, deliverables and retention

    You retain ownership of the documents you upload. You grant us permission to access and process them solely to deliver the requested service.

    Files in the portal are automatically deleted 60 days after upload. You are responsible for downloading and retaining your own copies of deliverables before that date.

    Deliverables are prepared for the specific matter and party identified, and are not to be relied on by any other person or transaction.

    Fees and payment

    • Fees are scoped and confirmed in writing before work begins. Published ranges are indicative only.
    • Amounts are exclusive of applicable taxes and out-of-pocket charges unless stated otherwise.
    • A proforma invoice may be issued before payment; it is not a tax invoice or proof of payment.
    • A receipt is issued only after remittance is confirmed by us against the reference you submit.
    • Fees paid are non-refundable once work has commenced, save where we agree otherwise in writing.

    Meetings

    Online meeting requests made through the portal are subject to confirmation. A meeting link is issued after we approve the requested slot. Slots are shown in Indian Standard Time (IST).

    Turnaround

    Indicative turnaround times depend on the complexity of the matter, the completeness of your instructions and your responsiveness. Timelines are estimates and not guarantees.

    Jurisdiction of advice

    We are based in India and our advisory work is undertaken from India. Where a matter involves foreign law, we address it from a commercial and drafting perspective and will recommend local counsel in the relevant jurisdiction where an opinion on foreign law is required.

    Intellectual property

    The website, its text, layout and branding are owned by us and may not be copied, reproduced or used for commercial purposes without written permission. On payment of our fee, the drafted agreement prepared for your matter may be used by you for that matter.

    Limitation of liability

    To the fullest extent permitted by law, our aggregate liability arising out of any engagement is limited to the professional fee received by us for that engagement. We are not liable for indirect, incidental or consequential loss, or for loss of profit, business or goodwill.

    We are not liable for outcomes arising from incomplete or inaccurate instructions, from changes made to a document after delivery, or from reliance on the document by a third party.

    Availability

    We aim to keep the site and portal available at all times but do not guarantee uninterrupted access. Access may be suspended for maintenance, security or reasons beyond our control.

    Governing law

    These terms are governed by the laws of India. The courts at Thiruvananthapuram, Kerala shall have exclusive jurisdiction, subject to any dispute resolution clause agreed in a specific engagement.
